These Terms & Conditions (“Terms”) govern the provision of services by BMF Software Solutions Ltd. (“BMF”, “we”, “us”) to the client (“you”). By engaging our services, you agree to these Terms.
Work is delivered under a Proposal / Quote / SOW that describes scope, timeline, and price. If the SOW and these Terms conflict, the SOW prevails for that project.
Provide timely access, content, approvals, and a single point of contact. Delays caused by missing inputs may shift dates and fees.
Fees are milestone-based unless stated otherwise. Invoices are due 7 calendar days from issue. Taxes, bank charges, and third-party fees are payable by the client.
Change requests are estimated and approved in writing before we proceed. Out-of-scope work is billed at the agreed rate card.
Upon full payment, you receive ownership of project-specific deliverables (code, designs, documents) excluding BMF's pre-existing tools, libraries, and know-how. Those remain BMF IP but are licensed to you as needed.
We may use open-source or third-party software subject to their licenses, which you agree to follow.
BMF grants you a non-exclusive, worldwide licence to use, run, and modify the deliverables for your business once paid in full.
Both parties must keep confidential information private and use it only for the project. This survives termination.
Each party is an independent controller unless a DPA is signed. We process data according to our Privacy Policy and EU law. Contact: privacy@bmfsoftwaresolutions.eu.
We warrant material conformance to the SOW for 30 days after delivery; remedy is prompt correction. No warranty for third-party services or hosting.
BMF's total liability is limited to fees paid for the affected milestone in the 3 months preceding the claim. No indirect or consequential damages.
You indemnify BMF against claims arising from materials you supply or your misuse of the deliverables.
During the project and for 6 months after, you will not directly solicit or hire BMF personnel who worked on your project without our consent.
Either party may terminate with 14 days' written notice, or immediately for material breach not cured within 10 days. Completed and in-progress work remains payable.
Upon settlement of invoices, we hand over work-in-progress and reasonable documentation.
Post-launch support is as stated in the SOW or a separate maintenance agreement.
Unless you object in writing, BMF may reference your name and logo in portfolios and case studies without revealing confidential information.
These Terms are governed by the laws of Malta, EU. Courts of Malta have exclusive jurisdiction.
If any term is unenforceable, the remainder stays in effect. No waiver is implied by failure to enforce. We may update these Terms from time to time.
