This page explains how intellectual property is owned and licensed for work created by BMF Software Solutions Ltd. (“BMF”, “we”, “us”) and used by our clients (“you”). It complements our Terms & Conditions and applies to all engagements unless your Statement of Work (SOW) says otherwise.

Definitions

  • Deliverables: Project-specific work we create for you (code, designs, documents).
  • BMF Tools: Our pre-existing frameworks, boilerplates, utilities, know-how, and design libraries.
  • Third-Party Components: Open-source or commercial software, fonts, icons, stock media, and APIs used in your project.

Ownership of Deliverables

Upon full and final payment, you own the Deliverables created specifically for your project, including source files provided in the handover (except BMF Tools and Third-Party Components — see below).

Licence to BMF Tools

BMF retains all rights to BMF Tools. We grant you a non-exclusive, perpetual, worldwide licence to use BMF Tools only as embedded within the Deliverables, for your internal business purposes.

Third-Party Licences

Your Deliverables may include Third-Party Components governed by their own licences. You agree to comply with those terms (e.g., MIT, Apache-2.0, GPL, commercial font EULAs, stock image licences). If a paid licence is required for production use, we’ll list it in the SOW or Handover Notes.

Open-Source Use

Where open-source is used, original copyright notices and licence texts must remain intact as required. We avoid copyleft obligations unless agreed in writing.

Client Materials

You confirm you have the rights to any content, logos, data, or brand assets you supply to us and you grant BMF a project-limited licence to use them for production and portfolio purposes (see §9).

Usage Restrictions

You may not resell or redistribute the Deliverables as a template, boilerplate, or product for multiple third parties without a separate licence. Multi-brand or white-label scenarios require explicit written permission.

Attribution & Notices

We may include reasonable copyright or attribution notices within code comments or documentation. Visible 'site by' footers are optional and removed on request.

Portfolio & Case Studies

Unless you object in writing, BMF may reference your project name, logo, screenshots, and public URLs in our portfolio, proposals, and case studies, without revealing confidential information.

Trademark

Your trademarks remain yours; our trademarks remain ours. No party acquires the other’s trademarks except for limited, revocable display permissions in §9.

Infringement & Takedown

If you believe any material in the Deliverables infringes rights, notify legal@bmfsoftwaresolutions.eu with details (work, owner, location, proof). We will review and, where appropriate, remove or replace the material.

Warranty & Limitation

Licences are provided “as-is” to the extent permitted by law. For limitations of liability and warranty scope, refer to our Terms & Conditions.

Governing Law

This page is governed by the laws of Malta, EU. Disputes are subject to the exclusive jurisdiction of the courts of Malta.

We may update this page to reflect legal or technical changes. The latest version will carry the date below.
